Data Processing Addendum

This Data Processing Addendum is a baseline processor/service-provider addendum for customer agreements. It should be attached to or incorporated into the signed customer agreement before enterprise launch.
1. Roles
For customer workspace data, the customer is the controller or business and HOA Operations is the processor, service provider, or contractor as applicable. For HOA Operations account administration, billing, security, website analytics, and business operations data, HOA Operations may act as an independent controller or business.
2. Processing instructions
HOA Operations will process customer personal data only to provide the service, as documented in the agreement, as instructed by the customer, as necessary for security and legal compliance, and as otherwise permitted by applicable law.
3. Confidentiality and access
HOA Operations will restrict personnel access to customer personal data to those with a business need and subject personnel to confidentiality obligations.
4. Security
HOA Operations will maintain reasonable administrative, technical, and organizational safeguards designed to protect customer personal data against unauthorized access, loss, misuse, alteration, or disclosure.
5. Subprocessors
The customer authorizes HOA Operations to use subprocessors to provide the service. HOA Operations will require subprocessors to protect customer personal data under obligations that are materially protective of customer data.
6. Assistance
Taking into account the nature of processing and information available, HOA Operations will reasonably assist customers with data subject requests, security incidents, and privacy impact obligations where required by applicable law.
7. Return and deletion
Upon termination, HOA Operations will return, export, archive, or delete customer personal data according to the customer agreement, product functionality, legal obligations, and backup retention schedules.
8. International transfers
If international transfer mechanisms are required, the parties will use appropriate transfer safeguards such as standard contractual clauses or another lawful transfer mechanism in the signed agreement.
